End User License Agreement

Before anything else

This agreement is between you and Praxous LLC and covers the LadderIDE application — the installer, the program, its bundled libraries and its documentation (together, the Software). By installing or using the Software you accept it. If you do not accept it, do not install the Software; if you have already paid, ask for a refund under the Refund Policy.

The Praxous website has its own separate Terms of Service. This document is about the Software.

Sim mode and Pro mode

There is one installer. Without a license key the Software runs in Sim mode, which is free to use under this agreement and does not generate Arduino code. A valid license key runs it in Pro mode, which adds Arduino code generation and upload to a board.

What you may do

Praxous LLC grants you a non-exclusive, non-transferable license to install and use the major version of the Software identified on your order, for the number of machines your key allows, for any purpose — learning, personal projects, teaching, or work.

You may install it at home and at work if both machines are yours to use and you stay within your activation count. A school or employer buying for several people needs a license for each.

Which version your license covers

Your license is scoped to the major version you purchased and covers the releases within that major version. A future major version is a separate release and may require a new license. Your existing key keeps working on the version it covers for as long as you want to keep using it.

If you install a later major version with a key that does not cover it, the Software runs in Sim mode and tells you why.

Your license key

Your key is yours and identifies your purchase. Do not publish, share, resell or distribute it. The Software checks the key with our licensing service when you activate it, and a key activates a limited number of machines — see Activation for how to move a license to a new machine.

A key found to be shared publicly, or obtained through a fraudulent or reversed payment, may be disabled.

What you may not do

• Copy, redistribute, resell, rent or sublicense the Software, or make it available for others to download.
• Reverse engineer, decompile or disassemble the Software, or defeat the license check — except to the narrow extent a law in your country grants you that right regardless of this agreement.
• Remove or alter copyright, license or attribution notices.
• Use the Software to build something whose failure could injure someone or cause serious damage. See the safety note below.

What stays yours

Your work is yours. The ladder programs, tags, reusable blocks and project files you create, and the Arduino sketches the Software generates from them, belong entirely to you. Use them, publish them, sell what you build with them — we claim nothing in them and charge nothing further for them.

The Software itself stays ours. This agreement licenses it to you; it does not sell it to you. Bundled third-party libraries remain under their own licenses, which are included with the Software.

Safety

The Software is a learning, prototyping and hobbyist tool. It is not a safety-rated development environment, and the Arduino-compatible boards it targets are not certified safety controllers. Do not use the Software, or code it generates, in any application where failure could result in injury, death, or serious property or environmental damage. You are responsible for the hardware you connect and for testing what you build.

No warranty

The Software is provided "as is", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that it is free of defects, that it will work with every board, or that generated code will behave as you intend. Some jurisdictions do not allow the exclusion of implied warranties, in which case that exclusion applies only as far as the law permits.

Limitation of liability

To the maximum extent the law allows, Praxous LLC is not liable for any indirect, incidental, special or consequential damages, or for lost profit, lost data, lost time, or damage to hardware or equipment, arising from your use of the Software — even if we were told such damages were possible.

Where liability cannot be excluded, our total liability under this agreement is limited to the amount you actually paid for your license. Nothing here limits liability that cannot legally be limited.

Refunds and ending this agreement

You may stop using the Software and delete it at any time. Refunds are covered by the Refund Policy — 14 days from purchase, and activating your key does not disqualify you.

Your license, and this agreement, end when your key is disabled — on refund, on a reversed payment, or if you breach this agreement. When that happens the Software returns to Sim mode. Your project files are unaffected and remain yours; the Pro-mode rights granted above stop.

Changes to this agreement

We may revise this agreement for future releases; the effective date at the top changes with it. The version you accepted continues to govern the release you have.

Governing law

This agreement is governed by the laws of the State of Nebraska, without regard to its conflict-of-laws rules, and the courts of that state are the venue for any dispute arising from it.

If any provision of this agreement is held unenforceable, the rest remains in force.
